Calypto for Business

These Terms of Use (“Terms”) are a binding agreement between you (“you,” “Subscriber,” or “End-User”) and Calypto Inc., a Delaware corporation (“Calypto,” “we,” “us,” or “our”), governing your use of the Calypto for Business application (the “App”) and the music catalog made available through it (the “Catalog”).

By downloading, accessing, or using the App, you accept these Terms. If you do not agree, do not use the App.

1. Acknowledgement

This agreement is concluded between you and Calypto only, and not with Apple Inc. (“Apple”). Calypto, not Apple, is solely responsible for the App and its content. These Terms do not provide for usage rules that conflict with the Apple Media Services Terms and Conditions.

2. Definitions

“Catalog” means the sound recordings and underlying musical compositions made available through the App.

“Licensed Location” means a single physical business premises operated by you, identified in your account, at which you are authorized to perform the Catalog under these Terms.

“Public Performance” means the playing of the Catalog audibly at a Licensed Location for the benefit of customers, employees, or other persons present.

“Subscription” means an active, paid subscription to Calypto for Business, or an active free trial thereof.

3. Scope of License (App)

Calypto grants you a limited, non-exclusive, non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. All rights not expressly granted are reserved by Calypto.

You may not copy, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App except to the extent such restriction is prohibited by applicable law.

4. Public Performance License Grant

4.1 Rights Ownership

Calypto owns or controls one hundred percent (100%) of the rights in the sound recordings and the underlying musical compositions comprising the Catalog. The Catalog is not registered with, administered by, or affiliated with any performing rights organization (“PRO”), including without limitation ASCAP, BMI, SESAC, GMR, PRS for Music, STIM, GEMA, SACEM, or SOCAN, and no PRO holds any right to license, collect royalties for, or enforce rights in the Catalog.

Accordingly, Public Performance of the Catalog at a Licensed Location under a valid Subscription requires no license, clearance, consent, or payment from any third party.

4.2 Grant

Subject to your compliance with these Terms and your maintenance of an active Subscription, Calypto grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to publicly perform the Catalog at your Licensed Location(s) during the term of your Subscription.

This license includes the right to perform the Catalog audibly on the premises of each Licensed Location for commercial purposes, including for the benefit of customers, patrons, members, guests, and employees.

4.3 Scope and Location Count

Each Subscription authorizes Public Performance at one (1) Licensed Location. Use at additional locations requires a separate Subscription for each additional location, or a written enterprise agreement with Calypto. You must accurately identify each Licensed Location in your account.

4.4 Restrictions

This license does not permit, and you may not:

(a) reproduce, download, copy, or store the Catalog other than as the App does automatically in the ordinary course of playback; (b) synchronize the Catalog with any visual media, including video, film, advertising, or social media content; (c) broadcast, webcast, simulcast, stream, or otherwise transmit the Catalog beyond the physical premises of a Licensed Location; (d) perform the Catalog at ticketed events, concerts, or live performances; (e) sublicense, resell, rent, redistribute, or otherwise make the Catalog available to any third party; (f) remix, edit, sample, or create derivative works from the Catalog; (g) remove, obscure, or alter any attribution, metadata, or proprietary notice; or (h) use the Catalog in any manner not expressly authorized by these Terms.

4.5 Term and Termination of the Grant

The license in Section 4.2 commences upon activation of your Subscription and terminates automatically and immediately upon the expiration, cancellation, non-renewal, or termination of your Subscription for any reason. Upon termination you must cease all Public Performance of the Catalog.

4.6 Assignment

Calypto may assign these Terms and the rights granted herein in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. The license granted in Section 4.2 will survive such assignment and remain in effect for the balance of your then-current Subscription term.

5. Accounts

You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You may delete your account at any time from within the App. Deleting your account does not cancel your Subscription — see Section 6.

6. Subscriptions, Billing, and Cancellation

Plans. Calypto for Business is offered as an auto-renewing subscription at $19.99 per month or $199.99 per year.

Free trial. New subscribers receive a 14-day free trial. If you do not cancel at least 24 hours before the trial ends, your subscription begins automatically and your payment method is charged.

Auto-renewal. Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the end of the current period. Your Apple ID account is charged upon confirmation of purchase and at each renewal.

Managing and cancelling. Purchases are processed by Apple. Manage or cancel your subscription in your Apple ID account settings at https://apps.apple.com/account/subscriptions. Deleting the App does not cancel your subscription.

Refunds. Refunds are handled by Apple in accordance with the Apple Media Services Terms and Conditions. Calypto does not process refunds for purchases made through the App Store.

Billing grace period. If a renewal payment fails, we may provide a grace period during which access continues while Apple retries the charge.

Price changes. We may change Subscription prices. Changes take effect at the start of your next billing period, and you will be given notice and an opportunity to cancel as required by applicable law.

Enterprise accounts. Subscriptions purchased under a separate written enterprise agreement with Calypto are governed by that agreement, and this Section 6 does not apply to them.

7. Maintenance and Support

Calypto is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance or support services for the App. Support requests may be directed to calyptoai@gmail.com.

8. Warranty

To the maximum extent permitted by applicable law, the App and the Catalog are provided “as is” and “as available,” without warranty of any kind, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Calypto is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Calypto’s sole responsibility.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law, including consumer rights available to you in the European Union and elsewhere.

9. Product Claims

Calypto, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

These Terms do not limit Calypto’s liability to you beyond what is permitted by applicable law.

10. Intellectual Property Rights

In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Calypto, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

11. Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

12. Third Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the App, including your wireless data service agreement and the Apple Media Services Terms and Conditions.

13. Third Party Beneficiary

You and Calypto acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary hereof.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Calypto will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to these Terms or your use of the App or Catalog, regardless of the theory of liability.

To the maximum extent permitted by applicable law, Calypto’s total aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the amounts you paid to Calypto in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Nothing in this section limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.

15. Termination

Calypto may suspend or terminate your access to the App and the Catalog if you breach these Terms. Your rights under these Terms terminate automatically if you fail to comply with any of its terms. Sections 4.4, 4.5, 8, 9, 10, 13, 14, 16, and 17 survive termination.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

If you are a consumer resident in the European Union or the United Kingdom, nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of that country.

17. Changes to These Terms

We may modify these Terms from time to time. Material changes will be notified to you through the App or by email. Continued use of the App after changes take effect constitutes acceptance. If you do not agree to the changes, you may cancel your Subscription.
